Terms of Service
These Terms of Service govern your use of Loxmetis, a cloud-based settlement intelligence platform for personal injury attorneys. By creating an account or using Loxmetis, you agree to these terms.
1. Acceptance of Terms
By accessing or using Loxmetis, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using Loxmetis on behalf of a law firm, you represent that you have authority to bind the firm to these terms.
If you do not agree to these terms, do not use Loxmetis.
2. Service Description
Loxmetis is a cloud-based settlement intelligence platform designed for personal injury attorneys. The platform provides:
- AI-assisted document analysis using uploaded case files
- Settlement calculation tools and financial modeling
- Multi-perspective AI analysis (Mediator, Plaintiff, Defense, Adjuster perspectives)
- Case management and document organization
- Negotiation tracking and bracket building
Loxmetis is currently in beta. Features and capabilities may change as the platform evolves.
3. Account Responsibilities
You are responsible for:
- Accurate information — Providing truthful and current account information, including your real name, firm name, and email address
- Password security — Keeping your password confidential and not sharing credentials with anyone outside your firm
- Authorized use — Ensuring that all activity on your account complies with these terms and applicable law
- Prompt notification — Notifying us immediately at legal@loxmetis.com if you suspect unauthorized account access
4. Acceptable Use
You may use Loxmetis only for lawful purposes in connection with your legal practice. You agree not to:
- Upload content that violates any applicable law, including uploading documents you are not authorized to access
- Attempt to access another organization's data or bypass our security controls
- Use Loxmetis to process data unrelated to personal injury case analysis
- Share your credentials with individuals outside your authorized firm
- Reverse engineer, decompile, or attempt to extract Loxmetis's source code
- Use Loxmetis in any way that could harm, disrupt, or overburden our infrastructure
- Attempt to scrape, harvest, or systematically download data from Loxmetis
5. Your Content & Authority to Upload
You are solely responsible for the documents, data, and other content you upload to Loxmetis ("Your Content"). By uploading Your Content, you represent and warrant that:
- You have the right and authority to upload it and to have it processed by Loxmetis and our service providers, including any client authorization required by your professional obligations;
- Doing so does not violate any law, court order, protective order, or duty of confidentiality or privilege you owe to a third party; and
- You will maintain your own copies and records as required by your professional and ethical obligations — Loxmetis is a decision-support tool, not a system of record or a substitute for your case-management or document-retention systems.
You grant us a limited license to host, process, and display Your Content solely to provide the service to you, as described in our Privacy Policy. We claim no other rights in Your Content.
6. Intellectual Property
Loxmetis (the software platform, AI models, algorithms, user interface, and all related intellectual property) is owned by the Loxmetis team and protected by copyright and other intellectual property laws.
Your access to Loxmetis is granted as a limited, non-exclusive, non-transferable license to use the platform for your legal practice during the term of your subscription.
We claim no ownership over your case documents, client data, or any content you upload. Your uploaded documents and chat conversations remain your property at all times.
7. Data Ownership & Data Processing
Your case data belongs to you. Specifically:
- All documents you upload remain your property
- Chat conversations and analysis outputs are yours
- We process your data only to provide the Loxmetis service to you
- We do not sell your data, license it to third parties, or use it for advertising

Where you act as a controller of personal data contained in Your Content, Loxmetis acts as your processor and processes that data only on your instructions to provide the service. Firms that require a separate Data Processing Addendum (DPA) may request one at legal@loxmetis.com.
8. Billing & Payment
Paid Loxmetis plans are billed through our payment processor, Stripe. If you purchase a subscription:
- Recurring billing — Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price, until you cancel.
- Cancellation — You may cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then.
- Refunds — Except where required by law, fees already paid are non-refundable, including for partial billing periods.
- Taxes — Fees are exclusive of taxes; you are responsible for any applicable sales, use, or similar taxes.
- Price changes — We may change subscription pricing on at least 30 days' notice; changes apply to your next billing period.
- Non-payment — We may suspend or downgrade your account if a payment fails and is not cured.
9. Service Availability
We work to keep Loxmetis available and reliable. However, during beta:
- We do not guarantee any specific uptime level (no SLA applies)
- Planned maintenance will be communicated via email when possible
- We may take the service offline for urgent security patches without advance notice
- We are not responsible for losses resulting from service interruptions
10. Disclaimer of Warranties
Loxmetis is provided "AS IS" and "AS AVAILABLE," without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any AI-generated output is accurate, complete, or reliable. You use the service, and rely on its output, at your own professional discretion.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Loxmetis and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of your use of or inability to use the service.
Our total liability to you for any claim arising from these terms or your use of Loxmetis shall not exceed the amount you paid for the service in the three months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Loxmetis and its operators, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your use of the service; (c) your violation of these terms or of any law; or (d) your violation of any right of a third party, including any client, opposing party, or other person whose information appears in Your Content.
13. Disclaimer — Not Legal Advice
Loxmetis provides settlement analysis tools, not legal advice. AI-generated analysis, settlement recommendations, and case insights are decision-support tools to assist qualified attorneys. They are not a substitute for professional legal judgment. All outputs should be reviewed and verified by a licensed attorney before reliance. Loxmetis accepts no responsibility for decisions made based on AI-generated content.
14. Termination
Either party may terminate your use of Loxmetis:
- By you — You may stop using Loxmetis at any time
- By us — We may suspend or terminate your account for violation of these terms, non-payment, or at our discretion with 30 days' notice
- Data export — Your case documents remain available for export for 30 days after termination
- Data deletion — After 30 days post-termination, your data will be deleted per our Privacy Policy
15. Governing Law
These Terms of Service are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of Cook County, Illinois.
16. Changes to These Terms
We may update these terms from time to time. We will notify you by email at least 14 days before material changes take effect. Your continued use of Loxmetis after the effective date constitutes acceptance of the revised terms.
